Our Corporate and Business Law practice with our foreign-based clients, focuses in helping them to incorporate in Mexico, navigating with them around the common mistakes of the learning curve others commit at high costs in time and financial resources.
We help our clients to establish operations in the country efficiently, through effective legal representation in all the steps required to successfully opening a Mexico operation: from the choosing of the correct business entity to incorporate to
preparing the documents until completion of the incorporation; from helping in choosing the correct accounting firm to coordinating with any accounting advisors already hired by our clients; and from negotiating leases or purchase agreements for the real
estate to base their operations to helping our clients to protect their hard won intellectual property. We work with our clients in all employment law implications and represent them in documenting all their collective and individual employment commitments properly.

For foreign clients in any other stage of development, we provide all standard legal services related to their business practice, from the day to day corporate and business law counseling, to the exceptional cases of due diligence and sales and purchases of assets or shares.
In this transactional area, we continuously participate in the most significant corporate transactions in the geographical area of our main office.
We acted as local counsel to Brown-Forman Corporation in its acquisition of substantially all of the assets of Tequila Herradura, drafting all the real estate transfer deeds for such acquisition.
We represented Grupo Industrial Plástico (GIPSA) of Guadalajara, a fully integrated flexible packaging manufacturer of bags, pouches and value-added laminated structures, in the sale of its assets to Printpack Inc., a flexible packaging and specialty rigid container manufacturer based in Atlanta, Georgia.
Our firm acted as counsel in the sale of the Guadalajara based pharmaceutical company “Laboratorios Diba, S.A.” to Perrigo Company, a leading global healthcare supplier based in Allegan, Michigan.
Real Estate
We advise clients on a variety of legal matters involving the negotiation and execution of the purchase or sale of commercial real estate assets in the metropolitan areas of Mexico, and in the recreational and residential real estate environments located in the Puerto Vallarta, Bahia de Banderas and Punta Mita areas in the Pacific Coast.
From December 2011 to the start of 2015, we have closed the equivalent of more than one hundred and twenty million US dollars of residential and recreational real estate for our strong base of our individual clients.
We cross reference our real estate practice area with our tax and business practices, since most of the significant high end transactions we intervene in, involve business and employment law implications, as well as tax consequences either when selling or acquiring such real estate.
We help our clients from the initial negotiation of the deal, walk with them through the choosing of the right investment vehicle and the most convenient trustee bank for the specific location, as per Mexico laws, and all the closing particulars, including the notary services required by civil law, provided by one the partners of the firm; this last aspect is significantly important since we provide, as per Mexico law requirements, with all services related to closing a real estate transaction in one roof.
In addition to our very strong practice in the Puerto Vallarta, Bahía de Balderas and Punta Mita areas, we are
one of the most active firms in the representation of commercial and residential real estate developers in the city of Guadalajara.

The figure of the notary public in Civil Law jurisdictions, such as Mexico, greatly differs from that of notaries public in Common Law countries like the United States. Civil Law notaries are trained jurists vested with public faith, whose involvement is required by law in many transactions, including property conveyancing and registration, business transactions, document authentication, execution of wills and other estate related matters, to name a few. The practice of notaries public in Mexico is governed by estate law. There are approximately only 4,000 Notaries in Mexico.
The notary practice we offer in our firm, was founded in the mid XIX century by Emiliano Robles Núñez, a distinguished attorney of the state of Jalisco, whom the Government appointed as Notary Public number 15 of the city of Guadalajara after the first State Notaries Law entered into force. Since then, led by four generations of the Robles family who have combined the practice of law and notarization, the firm has become a symbol of reliable, professional and first-rate notarization and legal services.
Currently, Mr. Jorge Robles Farías, an attorney since 1969 and Notary Public number 12 of Guadalajara since 1975 and his son, Jorge Robles Madrigal, an attorney since 1994 and Notary Public number 73 of such city since 2007, lead the firm´s notary services as Associate Notaries Public.

Tax Law
Tax considerations frequently play a vital role in business and real estate transactions and in personal and corporate financial planning of our clients. Our tax practice includes a variety of individual, partnership and corporate tax matters, and involves tax planning related to domestic transactions and business activities, real estate sales and acquisitions, mergers and assets or shares acquisitions, and other corporate and commercial matters.
Likewise, we advise and represent clients in tax law and defense litigation, administrative appeals and audits, both in state and federal courts. Our work regularly includes tax structuring of business and investment transactions including reorganizations, recapitalizations, joint ventures and financings, representation of clients before federal and state tax authorities, tax planning for domestic and foreign corporations where implications arise in Mexico; tax research and advice regarding Mexican tax legislation and regulations, federal, state and local tax planning and administrative proceedings and litigation in federal and state courts.
ADMINISTRATIVE LAW AND GOVERNMENT LITIGATION
Our services include advice in regulatory compliance with federal, state and local agencies. Constitutional, statutory and other legal challenges to federal, state and local laws and regulations and government conduct, including administrative and regulatory litigation before and against federal, state and local agencies. Representation in constitutional (amparo) claims before federal courts.
LABOR AND EMPLOYMENT LAW
Our practices is divided in preventive advice and litigation of labor and employment claims. Preventive advices focuses in drafting of employment agreements and other related documents, due diligence reviews to mitigate future labor liability, planning for expatriates working in Mexico, strategies for personnel transfers in corporate restructuring and strategies for the termination of employment agreements.
Our litigation practice group includes legal advice for the defense of companies and entrepreneurs against individual employment claims, representation of clients in labor claims throughout Mexico and advice on inspections performed by the state and federal labor authorities.
Intellectual Property

Commercial and Civil Litigation
We subscribe to the notion that most disputes are best resolved without litigation. Nevertheless, when litigation is deemed the best course under the circumstances, we are not hesitant to recommend it. We represent numerous corporations and individuals in civil as well as commercial proceedings at both the trial and appellate levels of the federal and state courts, and handle a broad range of disputes involving business transactions and ventures, real estate and bankruptcy.
Jorge Robles Madrigal, a firm founder since 2001, is the managing partner of the Guadalajara office and coordinator of the Real Estate Practice.
